Purchase Agreement

This Purchase Agreement ("Agreement") governs all purchases made through Wanderleaf Direct, a division of The Wanderleaf Co. ("Wanderleaf," "we," "our," or "us"). By placing an order, submitting payment, or accepting delivery of any product, the purchaser ("Customer," "you," or "your") acknowledges that they have read, understood, and agree to be legally bound by this Agreement.

1. Orders

All orders are subject to acceptance by The Wanderleaf Co. Submission of an order does not guarantee product availability. We reserve the right to refuse, limit, cancel, or modify any order at our sole discretion.

Once an ordering cycle has closed and the laboratory order has been submitted, orders are final. No additions, substitutions, cancellations, or modifications will be accepted unless expressly approved in writing by The Wanderleaf Co.

2. Payment

Payment in full is required before any order is processed.

Any supplemental shipping charge or other balance due under this Agreement constitutes part of the total amount owed for the order and must be paid in full before the order will be released for shipment. Failure to remit payment of any supplemental shipping charge or other balance due within the time specified on an invoice may result in cancellation of the order without further notice.Payment of the amount presented at checkout does not waive, satisfy, or otherwise eliminate the Customer's obligation to pay any additional shipping balance applicable to the order pursuant to Section 10 of this Agreement.

Returned payments, chargebacks, or fraudulent payment activity may result in cancellation of current and future orders and may be pursued through all available legal remedies.

3. Tax-Exempt Purchases

Customers claiming exemption from applicable sales tax are responsible for providing The Wanderleaf Co. with a current and valid resale certificate, exemption certificate, or other documentation required by applicable law to establish tax-exempt status.

Tax-exempt status is subject to verification and approval by The Wanderleaf Co. and, where applicable, the requirements of the relevant taxing authority. Submission of exemption documentation does not, by itself, guarantee approval of tax-exempt status.

Customers who have not yet been approved as tax-exempt within the online ordering system may complete their initial order through the standard checkout process and submit the required exemption documentation to The Wanderleaf Co. for verification.

Upon verification, The Wanderleaf Co. may designate the Customer's account as tax-exempt for qualifying future purchases. Any sales tax collected on an order placed prior to verification will be reviewed and, where the transaction qualifies for exemption and reimbursement is permitted under applicable law, the applicable sales tax may be refunded or otherwise adjusted.

Customers are responsible for maintaining current and accurate exemption documentation and for notifying The Wanderleaf Co. of any expiration, revocation, change in eligibility, or other change affecting their tax-exempt status.

The Customer represents that any exemption claimed is valid and applicable to the purchases for which it is used. The Customer shall be responsible for any taxes, assessments, penalties, interest, or other amounts arising from invalid, expired, inaccurate, or improperly claimed exemption documentation to the extent permitted by applicable law.

4. Product Availability

All products are offered subject to availability.

If a laboratory is unable to fulfill a requested item, The Wanderleaf Co. reserves the right to either:

• Issue a refund for the unavailable item; or

• Offer a substitute of comparable value.

The Customer shall have no additional claim arising from product unavailability.

5. Product Representation

Product photographs are provided for identification purposes only.

Images may originate from The Wanderleaf Co., or may be AI generated for reference purposes. 

Unless expressly stated otherwise, photographs do not depict the exact plant that will be received.

No representation or warranty is made regarding the exact size, coloration, leaf count, root development, maturity, or appearance of any plant.

6. Live Plant Disclaimer

The Customer acknowledges that live plants are biological organisms and naturally vary in appearance, growth habit, coloration, variegation, maturity, rooting, and overall condition.

Natural variation shall not constitute a defect or grounds for refund, replacement, or claim.

7. Variegated Plants

Variegation is a naturally occurring characteristic and cannot be guaranteed in amount, pattern, stability, or future expression.

The Wanderleaf Co. makes no warranty regarding future variegation or coloration after delivery.

8. Tissue Cultures

Tissue cultures are laboratory-grown juvenile plants.

Leaves may yellow, roots may vary in development, and cosmetic imperfections may occur during normal shipping and handling.

Such conditions are inherent to tissue culture and shall not constitute damage or defect.

9. Acclimation

The Customer assumes all responsibility for acclimation of tissue cultures after removal from sterile culture.

Because environmental conditions, care practices, and growing methods are beyond our control, The Wanderleaf Co. disclaims all responsibility for acclimation success or failure.

No warranty is expressed or implied regarding post-acclimation survival or growth.

10. Shipping 

Small to Medium Orders — 150 Tissue Cultures or Fewer

For orders containing one hundred fifty (150) or fewer tissue cultures, the following flat-rate shipping charges apply:

Ground Shipping: $15
2-Day Shipping: $25
Next-Day Shipping: $50

Large Orders — More Than 150 Tissue Cultures

For orders containing more than one hundred fifty (150) tissue cultures, the following flat-rate shipping charges apply:

Ground Shipping: $35
2-Day Shipping: $50
Next-Day Shipping: $80

Due to limitations of the online checkout system, the large-order shipping rates for orders exceeding one hundred fifty (150) tissue cultures cannot be automatically displayed or collected at checkout.

Customers placing a large order may complete checkout using the shipping rate presented by the checkout system. After checkout, The Wanderleaf Co. will issue a separate invoice for the difference between the shipping amount collected at checkout and the applicable large-order flat-rate shipping charge.

The additional shipping balance for large orders is:

Ground Shipping: Additional $20
2-Day Shipping: Additional $25
Next-Day Shipping: Additional $30

The additional shipping balance is part of the total amount due for the order and must be paid in full before the order will be released for shipment. Completion of checkout and payment of the initial order amount does not waive, satisfy, or otherwise eliminate the Customer's obligation to pay the applicable additional shipping balance.

Over 500 TCs: shipping is determined based on the size of the order, and the customer pays any additional shipping balance after checkout.

Shipping Origin, Distance & Transit Time

All orders ship from Knoxville, Tennessee.

The Customer is responsible for considering the distance between Knoxville, Tennessee and the delivery destination when selecting a shipping service. Ground shipments traveling long distances may require five to seven (5–7) business days or longer in transit, depending upon the destination, carrier operations, weekends, holidays, weather, and other delays.

Customers located a significant distance from Tennessee, particularly customers in the western and northwestern United States, including but not limited to California, Oregon, Washington, Idaho, Nevada, Arizona, and surrounding areas, are strongly encouraged to select 2-Day or Next-Day shipping for live plants and tissue cultures.

The availability of Ground Shipping at checkout does not constitute a representation or recommendation by The Wanderleaf Co. that Ground Shipping is appropriate for the Customer's location, current weather conditions, or the specific plants purchased.

Weather Responsibility

Live plants and tissue cultures are perishable biological products that may be damaged or killed by prolonged exposure to excessive heat, freezing temperatures, temperature fluctuations, extended transit times, or other environmental conditions.

The Customer is responsible for reviewing current and forecasted weather conditions for the delivery destination and, when reasonably applicable, the anticipated shipping route before selecting a shipping service. This includes considering extreme heat, freezing temperatures, severe storms, and other weather conditions that may make extended transit unsafe for live plants.

The Customer is also responsible for considering the expected length of transit. Ground Shipping may expose live plants to delivery vehicles, sorting facilities, warehouses, trailers, loading areas, or other environments that are not climate controlled.

Ground Shipping: Tissue cultures shipped via Ground are packaged in a reflective bubble mailer to help protect against temperature fluctuations. Ground shipments do not include cold packs, heat packs, or additional thermal insulation. These protections are intended for expedited shipments and are not offered with Ground Shipping due to the longer and less predictable transit time.

Hot Weather: When temperatures are expected to reach 85°F or higher and transit is expected to exceed two days, The Wanderleaf Co. strongly recommends 2-Day or Next-Day Shipping. When appropriate for the forecast, expedited shipments will include additional insulation and a cold pack.

Cold Weather: Tissue cultures generally tolerate cool temperatures better than excessive heat and do not routinely require a heat pack. During cold weather, 2-Day and Next-Day shipments will receive additional insulation when appropriate. Heat packs may be added when temperatures are expected to fall below 32°F. Heat packs and winter insulation are not available with Ground Shipping.

During extreme cold, generally 20°F or below, The Wanderleaf Co. reserves the right to delay shipment until conditions improve, as insulation and heat packs cannot guarantee protection from freezing.

If the Customer elects Ground Shipping or otherwise declines an available expedited shipping option despite extended travel distance, extreme temperatures, or other foreseeable weather-related risks, the Customer assumes the risk of plant deterioration, temperature damage, or loss attributable to those conditions or to the extended transit time, to the fullest extent permitted by applicable law.

The Wanderleaf Co. shall not be responsible for refunds, replacements, credits, or other compensation for plant damage or loss caused by heat, cold, freezing, excessive transit time, weather-related carrier delays, or other environmental exposure when the Customer selected a shipping method that increased or prolonged such exposure despite the availability of an expedited shipping option, except where otherwise required by applicable law.

Delivery & Prompt Retrieval

The Customer is responsible for monitoring tracking information and arranging for prompt retrieval of the package immediately following delivery.

The Wanderleaf Co. is not responsible for temperature damage, theft, deterioration, or other loss occurring after the carrier records the shipment as delivered, including packages left outdoors, in mailrooms, parcel lockers, porches, vehicles, or other locations exposed to environmental conditions.

If the Customer will not be available to receive the shipment, the Customer is responsible for making appropriate arrangements for its prompt retrieval.

Shipping Service & Carrier Responsibility

Selection and payment of Ground, 2-Day, Next-Day, or any other shipping service refers solely to the carrier service level purchased. Carrier transit times and delivery dates are estimates unless the carrier expressly provides otherwise and do not constitute a guarantee by The Wanderleaf Co. of delivery on a specific date or at a specific time.

All delivery estimates are subject to carrier operations, weather conditions, mechanical delays, service disruptions, holidays, acts of nature, and other circumstances outside the control of The Wanderleaf Co.

To the fullest extent permitted by applicable law, once a shipment has been accepted by the carrier, The Wanderleaf Co. shall not be liable for loss, theft, misdelivery, carrier negligence, carrier delays, weather-related delays, or damage occurring while the shipment is in the carrier's possession.

Nothing in this Agreement is intended to waive or limit any right or remedy that cannot legally be waived or limited under applicable law.

Weather-Related Shipping Holds

The Wanderleaf Co. reserves the right, but is not obligated, to temporarily delay shipment when severe or extreme weather conditions are reasonably believed to create a substantial risk to live plants in transit. Such a delay shall not constitute a breach of this Agreement or entitle the Customer to a refund or cancellation.

The Customer may be notified when a weather-related shipping hold is necessary. Once conditions are reasonably suitable for shipment, the order will be released using the shipping service selected by the Customer.

The Wanderleaf Co.'s decision to ship an order shall not constitute a representation or guarantee that weather conditions are safe or that temperature-related damage will not occur. The Customer's responsibilities regarding destination weather, shipping distance, transit time, and selection of shipping service remain applicable.

11. Live Arrival Claims

Any claim for plants alleged to have arrived damaged must be submitted within twenty-four (24) hours of the carrier's recorded delivery time.

Claims must include:

• An uninterrupted unboxing video beginning prior to opening the package.

• Photographs of all affected plants.

• Photographs of all packaging materials.

• The order number.

Failure to comply with these requirements constitutes a waiver of any Live Arrival claim.

12. Returns and Refunds

Due to the perishable nature of live plants, all sales are final.

Returns will not be accepted except where required by applicable law.

Refunds or replacements, when issued, shall be made solely at the discretion of The Wanderleaf Co.

The Customer is solely responsible for:

• Providing accurate billing and shipping information.
• Monitoring shipment tracking.
• Retrieving delivered packages promptly.
• Understanding the care requirements of purchased plants.
• Complying with all applicable federal, state, and local agricultural regulations.
• Paying any supplemental shipping balance or other amount due under this Agreement before shipment.
• Reviewing weather conditions affecting the delivery destination before shipment and selecting a shipping service appropriate for those conditions.
• Considering the distance the shipment must travel from Knoxville, Tennessee and the expected transit time when selecting Ground, 2-Day, or Next-Day Shipping.
• Selecting expedited shipping when the Customer determines that extended transit time, extreme heat, freezing temperatures, or other environmental conditions create an unacceptable risk to live plants.
• Making arrangements for immediate retrieval of the package upon delivery when temperatures or other environmental conditions could adversely affect the shipment.

Failure to satisfy these responsibilities shall not create liability on the part of The Wanderleaf Co. to the fullest extent permitted by applicable law.

14. Intellectual Property

All logos, trademarks, photographs, graphics, educational materials, written content, product descriptions, and other proprietary materials remain the exclusive property of The Wanderleaf Co.

No material may be copied, reproduced, distributed, or used without prior written consent.

15. Limitation of Liability

The maximum liability of The Wanderleaf Co. for any claim arising from the purchase of products shall not exceed the purchase price paid for the specific product giving rise to the claim.

Under no circumstances shall The Wanderleaf Co. be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, loss of business opportunity, emotional distress, or future plant value.

16. Disclaimer of Warranties

Except as expressly stated in this Agreement, all plants and products are sold AS IS and WITH ALL FAULTS.

The Wanderleaf Co. expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and future performance.

17. Right to Refuse Service

The Wanderleaf Co. reserves the right to refuse service, cancel orders, limit quantities, or terminate business relationships at its sole discretion.

18. No Oral Modification

No statement made by any owner, employee, representative, livestream, social media post, email, text message, or verbal communication shall modify this Agreement unless expressly confirmed in writing by The Wanderleaf Co.

19. Failure to Enforce

Failure by The Wanderleaf Co. to enforce any provision of this Agreement shall not constitute a waiver of that provision or of the right to enforce it in the future.

20. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee without regard to its conflict of law provisions.

Any legal action arising from this Agreement shall be brought exclusively in a court of competent jurisdiction located within the State of Tennessee.

21. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

This Agreement constitutes the entire agreement between the Customer and The Wanderleaf Co. regarding the purchase of products and supersedes all prior discussions, representations, communications, or understandings relating to the subject matter herein.

23. Acceptance

By submitting payment, placing an order, or accepting delivery of any product, the Customer affirms that they have read, understood, and agree to be legally bound by this Purchase Agreement.
